1. Acceptance of Terms

By opting for services from Shoplein Online Market ("Company", "We", "Us"), you agree to abide by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our rental eCommerce platform services.

2. Scope of Service & Rental Model

Shoplein Online Market provides a rental-based eCommerce website platform (Software-as-a-Service model) including hosting, SSL, domain setup, and technical platform support.

• The ownership of the platform core code and infrastructure remains with Shoplein Online Market.
• The client receives a non-exclusive, non-transferable right to use the website service during the active paid rental/subscription period.

3. Domain Ownership & 30-Day Money-Back Guarantee

• Domain Ownership: If Shoplein Online Market registers a custom domain name on behalf of the client, the domain remains the exclusive property of the client throughout the active subscription period.
• Refund & Deduction Policy: If a client exercises the 30-day money-back guarantee, the actual non-refundable cost incurred for the domain registration will be deducted from the initial subscription amount, and the remaining balance will be refunded.

4. Client Responsibilities & Legal Requirements

Clients using our eCommerce platform are solely responsible for their business operations and product listings:

• B2B Clients (Manufacturers/Wholesalers): Are responsible for managing their buyer catalog and business transactions.
• B2C Clients (Retailers): Must independently acquire necessary business documentation (e.g., GST / UDYAM Registration) for Payment Gateway integrations, integrated Courier/Logistics partners, and SMS/OTP gateway services.
• Clients must not sell prohibited, counterfeit, illegal, or restricted products under Indian laws.

5. Payments, Subscriptions & Renewals

• Rental charges are billed on an annual subscription basis unless agreed otherwise.
• Renewal payments must be made on or before the due date. Failure to renew may lead to temporary suspension or deletion of the online store and services.

6. Data Backups & Limitation of Data Loss Liability

Shoplein Online Market performs routine weekly data backups for operational security. However, as absolute data safety cannot be guaranteed on the internet, clients are encouraged to keep independent records. While we take every effort to protect your store data, Shoplein Online Market shall not be held liable or financially responsible for any loss of data, corrupted databases, or service downtime beyond our direct technical control.

7. Product Content & Intellectual Property

The client retains all ownership rights to the product images, text, and logos uploaded to their store. The client guarantees that uploaded content does not violate any third-party copyrights or trademarks. Shoplein Online Market holds zero liability for copyright infringement claims arising from content uploaded by the client.

8. Limitation of Liability

Shoplein Online Market is a technology platform provider. We are not responsible for:

• Financial losses, lost profits, or customer disputes arising from the client's store sales.
• Downtime caused by third-party server infrastructure, domain registrars, payment gateways, or courier service providers.
• Disputes between the store owner and end-consumers regarding product delivery, quality, or refunds.

9. Modifications & Customization

Basic customization is available via the admin panel. Any minor back-end custom modifications outside standard features may require custom terms or technical evaluation.

10. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the local courts where Shoplein Online Market operates.
